Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between 24-7 Techie UK Ltd ("we", "us", "our") and you ("Customer", "you", "your") governing your access to and use of 24-7 Publisher (the "Service"), accessible at https://portal.247techie.co.uk. By creating an account, completing payment, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

24-7 Publisher is a software-as-a-service (SaaS) platform that enables businesses to publish web content, capture and manage leads, send subscriber notifications, and manage marketing activities. The specific features available to you depend on the subscription plan you have purchased (Starter, Growth, Managed, or Enterprise). Features are as described on our pricing page at the time of purchase. We reserve the right to modify, enhance, or discontinue features with reasonable notice. Managed and Enterprise plans include a managed service component where our team produces and publishes content on your behalf according to an agreed scope of work.

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may invite team members ("Members") to your account. Each Member must accept these Terms before accessing the Service. You are responsible for ensuring your Members comply with these Terms and for any actions they take within your account. You must notify us immediately if you suspect unauthorised access to your account. We cannot be held liable for loss or damage arising from your failure to keep your credentials secure.

The Service is provided on a recurring subscription basis. Subscription fees are charged monthly in advance, with an optional one-time set-up fee payable at sign-up. By subscribing you authorise us (via our payment processor, Stripe) to charge your chosen payment method on a recurring basis at the rate applicable to your plan. All prices are quoted in GBP and are inclusive of VAT where applicable. Prices for each plan are as published on our pricing page. We reserve the right to update pricing with no less than 30 days' written notice. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price. Invoices are generated automatically at the start of each billing period. You are responsible for ensuring your payment method remains valid.

We may, at our discretion, offer free trials or promotional pricing. Any free trial is subject to these Terms. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. Promotional pricing applies only for the stated duration; after that period your subscription reverts to the standard rate for your plan.

You may cancel your subscription at any time via your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period; you retain access to the Service until then. We do not provide refunds for any unused portion of a subscription period except where required by applicable law or as set out in a separate written agreement. Set-up fees are non-refundable once onboarding has commenced. If we terminate your account due to a material breach of these Terms, no refund will be issued.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: • Upload, publish, or transmit content that is unlawful, harmful, defamatory, obscene, or that infringes any intellectual property or privacy rights; • Use the Service to send unsolicited communications (spam) or to conduct phishing, fraud, or other deceptive activities; • Attempt to gain unauthorised access to any part of the Service, our servers, or any system connected to the Service; • Reverse engineer, decompile, or disassemble any part of the Service; • Resell, sublicense, or otherwise commercially exploit the Service without our express written consent; • Use the Service in any way that could damage, disable, overburden, or impair its infrastructure. We reserve the right to suspend or terminate your access immediately if we reasonably believe you are in breach of this clause.

You retain all intellectual property rights in the content you upload, create, or publish through the Service ("Customer Content"). By using the Service you grant us a limited, non-exclusive, royalty-free licence to host, store, process, and display your Customer Content solely for the purpose of providing the Service. You are solely responsible for ensuring your Customer Content complies with all applicable laws, including UK data protection law (UK GDPR and the Data Protection Act 2018), advertising standards, and any sector-specific regulations. We will process any personal data you provide to us or that we collect on your behalf in accordance with our Privacy Policy and applicable data protection legislation. Where we act as a data processor on your behalf, the terms of our Data Processing Agreement (available on request) shall apply.

The Service, including all software, designs, trademarks, and documentation, is owned by or licensed to 24-7 Techie UK Ltd and is protected by intellectual property laws. These Terms do not transfer any ownership of our intellectual property to you. You may not copy, reproduce, modify, or create derivative works of any part of the Service without our express written consent. Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us freely and without any obligation to you.

The Service integrates with third-party services (including but not limited to Stripe for payments, SMTP2Go for email delivery, and social media platforms). Your use of those third-party services is governed by their respective terms and privacy policies, which you are responsible for reviewing. We are not liable for the availability, accuracy, or actions of any third-party service.

We aim to provide the Service with at least 99% monthly uptime, excluding scheduled maintenance. We will endeavour to provide advance notice of planned maintenance windows where practicable. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with reasonable notice where possible.

To the maximum extent permitted by applicable law: • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service; • Our total aggregate liability to you in respect of any claims arising under or in connection with these Terms shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

You agree to indemnify, defend, and hold harmless 24-7 Techie UK Ltd and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Customer Content; (c) your breach of these Terms; or (d) your violation of any applicable law or third-party rights.

We may update these Terms from time to time. When we make material changes, we will notify you by email or via a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating any formal proceedings, we encourage you to contact us at [email protected] so that we can attempt to resolve any dispute amicably.

These Terms, together with our Privacy Policy and any order confirmation or statement of work, constitute the entire agreement between you and us relating to the Service and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations at any time.
